Terms of Use

1. Scope and Acceptance

These Terms cover only B2B users of BridgeSync software and related services. These terms of use (the "Terms") apply to your business use of all BridgeSync services and software, including plugins, APIs, hosted features, and related materials, collectively known as the "Services". These terms are exclusively for business customers (B2B), not consumers.

By installing, accessing, or using any Service, you confirm that you have read and accepted these Terms. Acceptance of these Terms indicates you are acting as a business and not as a consumer.

These Terms apply only to business transactions, not to consumers.

3. Scope of the Services

BridgeSync provides business software and related services that help merchants operate and automate workflows (e.g., commerce integrations, VAT validation, invoicing, synchronisation). Hosting your own environment is not included unless it\'s explicitly stated.

Service scope

BridgeSync sells licenses or subscriptions to use the Services, but not hosting for your systems. Responsibilities for the customer include the following:

  • Set up your own environment on a platform you control, such as WordPress/WooCommerce.
  • Ensure your setup is configured correctly and functions properly.
  • Maintain responsibility for the uptime and performance of your systems.

No hosting: You are responsible for your infrastructure and configurations unless agreed otherwise.

Optional services

BridgeSync offers optional services such as onboarding, implementation, and consultancy at an additional cost.

Support and updates

You will get access to updates and technical support if you have a valid, active subscription. The details are outlined below.

4. Free trial

BridgeSync offers new customers a complimentary trial for certain services. No charges apply during the trial period unless otherwise specified. Customers are encouraged to evaluate the functionality during this period. There is no obligation to purchase.

Each customer may use one free trial, unless BridgeSync allows additional use.

Upon conclusion of the trial period, access to the Services will automatically terminate. BridgeSync will provide advance notification of the trial end date prior to termination of access.

Trial Timeline:

  • Day 0: Marks the start of your free trial.
  • Day X: You will receive a notification of the trial\'s end date and the final opportunity to activate a paid plan.
  • Day Y: This will be the last day, as your access will cease unless a subscription is purchased.

Following the conclusion of the trial period and termination of access, no charges will be incurred unless a paid subscription is actively selected. No charges apply unless a decision is made to continue (see Article 5 for further details).

BridgeSync reserves the right to terminate or revoke your free trial at its discretion in cases of misuse or abuse.

Please note that there will be no automatic conversion to a paid subscription.

Following the conclusion of the trial period and termination of access, no charges will be incurred unless a paid subscription is actively selected. No charges apply unless a decision is made to continue (see Article 5 for further details).

BridgeSync reserves the right to terminate or revoke your free trial at its discretion in cases of misuse or abuse.

5. Subscriptions and payments

To continue using the service beyond the trial period, a subscription must be purchased. BridgeSync offers subscription plans with both monthly and annual options.

Subscription activation

To maintain access after the trial, a subscription must be selected and paid for before or upon trial expiration. Activation must be completed promptly to ensure uninterrupted service.

Licence grant and term

Subscription fees must be paid for the designated period. The subscription commences upon activation and continues for the selected term. The plan renews automatically unless canceled in advance. Failure to cancel in a timely manner results in automatic renewal for the same period.

Payment and invoicing

Fees must be paid before each subscription period. Prices are in euros and exclude VAT unless otherwise stated.

When you renew, BridgeSync will charge your registered payment method. If payment is incomplete, your access may be suspended or terminated, but you remain responsible for any outstanding balance.

Cancellation

Cancellation is permitted at the end of the current period. If cancellation occurs mid-term, no refund will be issued; access to the paid portion remains available until the end of the paid term, after which access ceases. Timely cancellation is required to avoid additional charges.

Plan changes

To change a subscription plan, contact BridgeSync. Upgrades to longer-term plans will result in prorated pricing. Downgrades or reductions in subscription duration take effect after the current paid period.

Notification of a price change is provided herein.

BridgeSync reserves the right to change its subscription plan prices or terms at any time. You will be notified of any material changes at least 30 days in advance. If you\'re not happy with this, you can end your contract as of the date the change takes effect. Continued use after that date is considered acceptance.

6. Intellectual Property Rights

BridgeSync (or its licensors) owns all intellectual property rights in the Services and related documentation, code, designs, text, images, and other materials, including copyrights, trade names, trademarks, logos, and any patent rights.

No transfer

Under these Terms, you will not receive any intellectual property rights. You have a limited licence to use it as set out here.

Protection of names and logos

Do not remove, alter, or obscure copyright or ownership notices, trademarks, or distinctive elements in the Services or related materials. You have no rights in BridgeSync\'s trade names or marks.

7. Licence terms and use restrictions

BridgeSync authorizes use of the Services solely for internal business purposes. Resale of the licence is prohibited. Licence or order form terms may specify per-site, per-instance, or seat limitations.

Permitted use

Use it for your own business, and only as much as you paid for. It is essential to determine whether additional licenses are required for other entities, stores, or environments. Ask yourself: Does another store or entity use this licence?

No copying or sharing

Copying, reproducing, distributing, renting, lending, sublicensing, selling, or otherwise making the Services or related software available to third parties is strictly prohibited, except for internal permitted use.

There will be no reverse engineering.

Do not decompile, disassemble, translate, adapt, or reverse engineer this product in any way to derive source code or underlying ideas, unless you are expressly permitted to do so by mandatory law. Do not circumvent security measures or technical restrictions.

Changes and their impact

Modification of the Services or creation of derivative works is prohibited, except for error correction if BridgeSync is unable to provide a timely solution. Use of third-party add-ons is at the user\'s own risk. BridgeSync assumes no responsibility for malfunctions resulting from such add-ons.

This product is intended exclusively for professional use.

The Services must not be used for any illegal or harmful purposes. Compliance with all applicable laws and third-party platform terms is required. Misuse of BridgeSync, platforms, other users, or third parties may result in suspension or termination of access (see Article 11 for further details).

Licence verification

BridgeSync serves as the tool for verifying compliance. Upon request, evidence of use in accordance with these Terms must be provided.

8. Updates and support

As long as you have an active paid subscription plan, you will get software updates and technical support from BridgeSync.

Updates

BridgeSync will regularly release updates, bug fixes, and improvements. Access is granted to those with a valid licence. These updates will include new features or changes to ensure continued functionality with other platforms and dependencies.

We work diligently to keep the Service reliable and ensure continuous improvements. You must install updates as soon as they\'re available. BridgeSync cannot guarantee that everything will always work perfectly, but we guarantee that we will fix any problems in future updates.

Technical support

If you have a paid subscription plan, you are entitled to reasonable technical support during the plan term for installation, configuration, and functional questions.

You can get support by email or through the online support system during business hours. BridgeSync will respond as soon as possible, but cannot guarantee any specific timescales.

Support conditions

Support is provided only when the product is used in accordance with the documentation. Issues resulting from misuse, improper system management, or incompatibility with unsupported third-party software are excluded from support or may incur additional charges.

Valid subscription required

If your subscription lapses, you will no longer receive updates or support.

Optional services

Any optional extras, such as on-site installation or extended consultancy, are only available if you enter into a separate agreement and pay extra for them.

9. Limitation of liability

Use of the Services is at the user\'s own risk.

BridgeSync provides services considered useful and reliable; however, all services are provided "as is". Use is entirely at the user's own risk.

The following outlines the limitations of liability.

BridgeSync is not responsible for any damages that come from or are related to you using (or not being able to use) the Services or these Terms, as much as the law allows.

This includes all kinds of losses, whether they\'re direct or indirect. This includes lost profits, data loss, missed savings, loss of goodwill, business interruption, and any consequential, incidental, or punitive damages. It is clear that all of this is regardless of whether BridgeSync was told about the possibility of these damages.

The following items are excluded from liability:

  • (a) Using the Services incorrectly is not acceptable.

  • (b) Do not use this with unsupported software, systems, or changes that BridgeSync hasn\'t provided.

  • (c) If external services aren\'t available or aren\'t working properly, that is the problem. Third-party APIs, payment gateways, marketplaces, hosting, or internet connectivity are the most likely culprits.

Exceptions to mandatory laws

These Terms do not limit or exclude BridgeSync\'s liability where the law says it can\'t be limited or excluded (e.g., if BridgeSync intended to cause harm or acted recklessly).

The most they could be held liable for.

BridgeSync is only liable for compensation for direct damages up to the lesser of €50.000 (fifty thousand euros) or the amount you paid to BridgeSync in the 12 months before the event that caused the liability, unless mandatory law says otherwise.

No warranties are provided.

BridgeSync does not guarantee that the Services will function flawlessly or remain compatible with all future software versions. Major issues will be addressed as promptly as possible through updates, as described in Article 8.

10. Force Majeure

BridgeSync is not responsible for issues arising from circumstances beyond its control. Force majeure refers to any event, foreseeable or unforeseeable, that reasonably prevents performance of the agreement and is outside BridgeSync\'s control.

Here are some examples of force majeure:

This includes, but is not limited to:

  • • Pandemics, epidemics, fire, water damage, and natural disasters.
  • • War, terrorism, riots, and governmental measures or restrictions.
  • • Strikes and staff shortages.
  • • Telecommunications or internet outages, prolonged power failures.
  • • Outages affecting third-party servers or data centres.
  • • Supplier delays or failures.
  • • Other events beyond BridgeSync\'s reasonable control.

Consequences of force majeure

BridgeSync is not liable for issues resulting from a force majeure event. If such an event persists for more than 30 days, either party may terminate the agreement (the subscription) in writing without compensation.

Refunds in case of force majeure

If a subscription is canceled due to circumstances beyond BridgeSync\'s control, any prepaid subscription amounts for the period following cancellation will be refunded, calculated based on the remaining subscription term.

11. Term and termination

This agreement (the license/subscription) starts when you get the license or subscription (after any trial) and remains in force for the chosen term, with automatic renewals as described in Article 5.

Termination by the customer

Cancellation must follow the procedures and timelines specified in Article 5. Upon cancellation, the licence terminates on the last day of the current paid period. Continued use is permitted until expiration, after which all software components must be removed.

Termination for cause by BridgeSync

BridgeSync reserves the right to immediately (temporarily or permanently) stop or suspend your access if you break these Terms, including but not limited to:

  • • You will be in trouble if you break the rules on intellectual property or licence restrictions (check out Articles 6 and 7).
  • • Pay the fees set out in Article 5.
  • • People are misusing the services in other ways.

BridgeSync will notify the customer of any breach and provide an opportunity for remediation. Immediate contract termination will occur in cases of severe breach. If the customer is responsible for termination, fees will not be refunded and outstanding amounts remain payable.

Termination for other reasons

BridgeSync might stop offering a service or end the agreement with you for important reasons (e.g., if we stop developing or distributing it). BridgeSync will notify you at least 60 days in advance if this happens. You will receive a refund for any prepaid amounts for the remaining period after the termination date.

Effects of termination

Upon the end date, access to the Services will cease. All use must be discontinued and the software uninstalled. Provisions intended to survive termination, such as liability limits, intellectual property, indemnities, governing law, and dispute resolution, will remain in effect.

12. Governing law and venue

Dutch law governs these Terms, the agreement between you and BridgeSync, and any use of the Services. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply in this case.

Amicable resolution

If there\'s any disagreement regarding these Terms or the use of the Services, the parties will resolve it amicably.

If that doesn\'t work, the dispute will be sent to the relevant court in the Netherlands in the district where BridgeSync is based.

Forum selection

This forum selection does not affect BridgeSync\'s right to bring the dispute before any other court that\'s competent under the law.

13. Changes to these Terms

These Terms are updated to maintain compliance and security, ensuring access to the latest protections and technological advancements. BridgeSync reserves the right to modify or supplement these Terms at any time. At least 30 days\' notice of significant changes will be provided, either by email or on the website, along with an explanation of the modifications.

If you do not agree with the changes

If the updated Terms are not acceptable, the subscription may be terminated as of the effective date. Continued use of the Services after the effective date constitutes acceptance of the changes.

Current version

The most current version of the Terms is available on bridgesync.io and supersedes all previous versions. Users are responsible for remaining informed about the applicable Terms.

14. Miscellaneous

Entire agreement

These Terms, together with any other written agreements entered into with BridgeSync (such as order forms, data processing agreements, or quotes), constitute the entire agreement regarding use of the Services. They supersede all prior proposals or discussions on the subject.

Severability

If any provision is deemed invalid or unenforceable by a competent court, the remaining terms remain in effect. The invalid provision will be replaced or interpreted to reflect its original intent and ensure enforceability.

No waiver

Non-enforcement of any rights or provisions by BridgeSync does not constitute a waiver. Tolerance of a breach does not preclude action against future or similar breaches.

Assignment

BridgeSync\'s permission is required before granting third parties any rights or obliations under these Terms. BridgeSync may transfer its rights and obligations, for example in the event of a merger or acquisition, with notice provided to the customer.

No third-party beneficiaries

These Terms do not give third parties any rights, unless the law says they do.

Final provision

Purchasing a BridgeSync subscription or licence and confirming agreement at the point of purchase constitutes acceptance of these Terms of Use. These Terms apply for the duration of Service use.
